Angela Schofield - Chairman

Angela was appointed as Chairman by the Council of Governors and took up the role as Chairman in May 2011 for a three year tenure of office.

Angela joins the Trust from her previous position as Chairman of NHS Bournemouth and Poole. Angela has also close links with the university where she was Joint Head of School at the Institute of Health and Community Studies, Bournemouth University. Shel has also previously been Vice Chair of Bournemouth Teaching Primary Care Trust.

Angela has a professional background as a Healthcare Manager. Formerly Chief Executive of an NHS Trust in Yorkshire and General Manager of Poole Bay Primary Care Group, she has also held academic posts at the Health Services Management Unit, at the University of Manchester.

Chris Bown - Chief Executive

Chris Bown took up his appointment as Chief Executive on 1 April 2010 after the Council of Governors approved his appointment in September 2009.

Chris brings a wealth of experience in the management of NHS acute hospitals. Prior to taking up his appointment, he was Chief Executive at West Suffolk Hospital NHS Trust in Bury St Edmonds.

Chris has worked as Director of Operations at Birmingham Children's Hospital. He has Board level experience in the management and development of Clincial Services, Facilities and Estates, Business, Strategic and Capital Planning, Commissioning and Human Resources Management.

The appointment of the Chief Executive requires the approval of the Council of Governors. The Non-executive Directors may terminate this appointment. The post is subject to the normal Trust disciplinary procedures. 

Robert Talbot - Medical Director

Robert Talbot, Medical Director was appointed by the Board of Directors on a three-year contract in 2008, and was extended by a further two years in 2011.  This appointment may be terminated or renewed by the Board.

Director Appointments

The remaining Executive Directors are appointed and/or removed by a committee consisting of the Chairman, Chief Executive and other Non-executive Directors. Executive Directors are on open contracts, which are subject to Trust disciplinary procedures.

Since the hospital became a Foundation Trust in 2007, the power to appoint the Chairman and other non-executive directors rests with the Trust’s Council of Governors.

Three of the non-executive Board members were initially appointed by the NHS Appointments Commission on behalf of the Secretary of State for Health - these appointments were for periods of four years. All of these directors were re-appointed by the Council of Governors. 

Remuneration Committee

The current membership of the Remuneration Committee, which reviews the salaries of the executive management team of the Trust, is the Chairman of the Trust and all the non-executive members of the Board of Directors.

Audit & Governance Committee

The Audit & Governance Committee, which consists of four non-executive directors of the Trust, has an important role to play in ensuring that the Trust conducts its financial affairs within an environment of honesty and integrity.  The main objectives of the Audit & Governance Committee are to ensure that the Trust’s activities are within the law and regulations covering the NHS and that an effective internal financial control system is maintained.  The committee must be able to assure the Board of Directors that the system of internal control is operating effectively.

Internal auditors assist the Audit & Governance Committee by providing a clear statement of assurance regarding the adequacy and effectiveness of internal controls.  The Director of Finance is professionally responsible for implementing systems of internal financial control and is able to advise the Audit & Governance Committee on such matters.  In addition the Trust has Government appointed external auditors whose objectives are to provide an independent assessment of the Trust’s statement of accounts, general financial standing, financial systems, arrangements for preventing and detecting fraud and corruption and its management arrangements.  Special ‘Value for Money’ audits are also carried out whereby a particularly in-depth study of a specific area is undertaken.

A register of Board Directors’ interests relevant or material to the Poole Hospital NHS Foundation Trust is maintained and updated annually.  This is available for inspection by contacting the Board & Council Administrator at Poole Hospital. 

In compliance with paragraph C.1.13 of the Monitor Code of Governance for NHS Foundation Trusts, no executive director holds more than one non-executive directorship of an NHS Foundation Trust or another organisation of comparable size and complexity.
